This Terms of Sale Agreement (“Agreement”) is entered into by and between GabsRatings (“Seller”) and [Buyer Name] (“Buyer”).
Sale of Live Class and Digital Library Access
Seller agrees to sell to Buyer access to a live class, as well as access to Seller’s digital library for a period of 30 days from the date of purchase. The live class and digital library access will be provided to Buyer via [insert method of delivery], and Buyer agrees to comply with all instructions provided by Seller for accessing the class and library.
Price and Payment
Buyer agrees to pay the price for the live class and digital library access as specified by Seller at the time of purchase. Payment must be made in full prior to access being granted to the live class and digital library.
Refunds and Cancellations
Buyer may cancel their purchase of the live class and digital library access within [insert number of days] days of the purchase date for a full refund. After this period, no refunds will be provided. Seller reserves the right to cancel the live class and digital library access at any time for any reason, in which case Seller will provide a full refund to Buyer.
We want you to be satisfied, so all eligible courses purchased on Udemy can be refunded within 30 days, provided the request meets the guidelines in our refund policy.
Certain restrictions may apply and some purchases may only be eligible for credit refunds. For more information regarding our refund policy, please see below.

Our 30-day policy
While our 30-day refund policy is to allow students to learn risk free, we must also protect our instructors from fraud and provide them a reasonable payment schedule. Payments are sent to instructors after 30 days, so we will not process refund requests received after the refund window.
Additional reasons for denied refunds
We reserve the right, in our sole discretion, to limit or deny refund requests in cases where we believe there is refund abuse, including but not limited to the following:
- A significant portion of the course has been consumed or downloaded by a student before the refund was requested.
- Multiple refunds have been requested by a student for the same course.
- Excessive refunds have been requested by a student.
- Users who have their account reported, banned or course access disabled due to a violation of our Terms.
- We do not grant refunds for any subscription services unless otherwise required by applicable law (please see below for more information).
These refund restrictions will be enforced to the extent permitted by applicable law.
Credit only refunds
In cases where a transaction is not eligible for a cash refund, the refund will be granted using Udemy credits, provided it otherwise meets our 30-day refund policy.
If your course purchase is only eligible for a credit refund, this will be indicated on the refund page.
Intellectual Property Rights
Buyer acknowledges that all intellectual property rights in the live class and digital library access, including but not limited to copyright and trademarks, are the property of Seller. Buyer agrees not to reproduce, distribute, or otherwise use any of the content in the live class or digital library without the express written permission of Seller.
Limitation of Liability
Seller is not liable for any damages or losses that may result from Buyer’s use of the live class or digital library access. Buyer acknowledges that the live class and digital library access are provided “as is” and without warranty of any kind, express or implied. In no event shall Seller be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with Buyer’s use of the live class or digital library access.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [insert governing law], without regard to its conflicts of law provisions. Any dispute arising out of or in connection with this Agreement shall be resolved through binding arbitration in accordance with the rules of the [insert arbitration organization], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
By purchasing the live class and digital library access, Buyer agrees to the terms and conditions set forth in this Agreement.
